1. Acceptance of Terms
Welcome to Juni, an AI-powered assistant service provided by Endpaper Corporation ("Juni," "we," or "us"). These Terms of Use ("Terms") govern your access to and use of the Service, including the website at meetjuni.com, the Juni web application, and all related features and integrations.
By creating an account, connecting integrations, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Service.
You represent that you are at least 18 years old and legally capable of entering into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Description of the Service
Juni is a cloud-based AI assistant designed for real estate teams. Juni connects to your team's communications platforms, productivity tools, and business systems to automate workflows and assist with day-to-day operations. Key aspects of the Service include:
- AI-Powered Assistance. The Service uses AI models from third-party providers to analyze conversations, generate documents, conduct research, create reports, and perform tasks on your behalf through connected platforms.
- Connectors. Juni connects to third-party platforms (such as Slack, Google Workspace, and Follow Up Boss) to extend its capabilities. Each connection requires your explicit authorization via OAuth or API key and is governed by the respective platform's terms of service.
- Playbooks and Triggers. You can create playbooks — descriptions of ongoing responsibilities or multi-step workflows — and attach triggers that cause the agent to execute those playbooks on a schedule or at a specific time.
- Team Workspace. The Service is organized around teams. Team members share access to team-level integrations (Slack, Follow Up Boss) and can view team-visible conversations and playbooks.
3. Account Registration and Security
To use Juni, you must create an account using Google OAuth. When registering and using the Service, you agree to the following:
- Accurate Information. You will ensure that the information associated with your Google account (name, email) is accurate and current.
- Account Security. You are responsible for maintaining the security of your Google account and any connected third-party accounts. If you connect integrations using OAuth or API keys, ensure those credentials remain secure.
- Team Administrator Authorization. If you create a team or connect team-level integrations, you represent that you have the authority within your organization to do so.
- Responsibility for Use. You are responsible for all activities that occur through Juni in your account and team, including actions taken by the AI agent on your behalf. If you notice any unauthorized activity, you must notify us immediately at support@meetjuni.com.
- Authorized Users. Team administrators are responsible for ensuring that only authorized individuals are invited to the team and interact with Juni for business purposes.
4. User Permissions and Data Access
By connecting Juni to third-party platforms, you grant Endpaper Corporation the rights and permissions necessary to access and process data on your behalf:
- Google OAuth Consent. When you connect your Google account, you will be presented with Google's consent screen detailing the permissions we request (such as reading and editing files in Google Drive, Docs, Sheets, and Slides). By granting consent, you authorize us to use those permissions to provide the Service. You may revoke access at any time via your Google Account settings.
- Slack OAuth Consent. When your team connects Slack, you will be presented with Slack's consent screen detailing the permissions we request (such as reading messages in channels where Juni is invited and posting messages). By granting consent, you authorize us to use those permissions to provide the Service. You may uninstall Juni from your workspace at any time via Slack's App Management settings.
- Follow Up Boss. When your team connects Follow Up Boss, you authorize us to access CRM data using the API key provided.
- Scope of Data Access. Juni will access data from connected platforms only as needed to perform requested tasks, execute playbooks, and provide the Service. Team-level integrations are shared — authorized team members may invoke those integrations through Juni.
- Use of Data. Data obtained from connected platforms will be used strictly in accordance with our Privacy Policy. We do not use your data for advertising or to train AI models.
5. Connectors and Third-Party Integrations
- Authorization. If you connect an integration, you represent that you are authorized by your organization (and, if applicable, the relevant third-party account owner) to do so.
- Third-Party Terms. Your use of connected platforms is subject to each platform's own terms of service and privacy policy. We are not responsible for the availability, functionality, or policies of third-party platforms.
- Shared Integrations. Slack and Follow Up Boss integrations are team-scoped. When a team member connects these services, the integration is available to all team members through Juni. Google integrations are user-scoped and private to the individual who connects them.
- Disconnection. You can disconnect integrations at any time through Juni's settings, the third-party platform's settings, or by contacting us. Disconnecting stops new data collection from that source.
6. Playbooks, Triggers, and Autonomous Operations
Juni can operate with varying levels of autonomy through its playbook and trigger system. You acknowledge and agree to the following:
- Autonomous Actions. Juni may autonomously perform actions such as reading data from connected platforms, generating reports and documents, drafting messages, conducting research, and communicating within Juni conversations — without requiring per-action approval.
- Scheduled Operations. When triggers fire, Juni receives the associated playbook instructions and carries out the described actions using all available tools. Depending on your configuration, scheduled operations may execute without real-time human review.
- Pre-Authorized Actions. If you create playbooks, configure triggers, or set up recurring workflows, you authorize Juni to execute those workflows according to the schedules and instructions you define.
- High-Risk Actions. Juni is instructed to request confirmation before performing actions that modify external systems or have significant impact (such as sending communications to parties outside your team or making material data modifications in connected platforms). However, these safeguards rely on AI prompt-level guidance and may not prevent all unintended actions in all circumstances. We are continuously improving these controls.
- User Responsibility. You are ultimately responsible for the content and suitability of all playbooks, triggers, instructions, and configurations you create. Once an action is approved or pre-authorized, you are responsible for the consequences. You should promptly notify us at support@meetjuni.com if you observe any undesirable or unexpected agent behavior, and we will investigate and use commercially reasonable efforts to remediate the issue.
- Control. You are responsible for promptly updating or removing playbooks, triggers, and integration connections if personnel, roles, or business requirements change.
- Personnel Notification. If you use Juni in a team environment where the AI agent may access, monitor, or process communications or data belonging to other individuals (such as teammates, clients, or contacts in a connected CRM), you are responsible for informing those individuals that an AI system is accessing, analyzing, and acting upon such communications and data, and for obtaining any consents required under applicable law.
7. Acceptable Use Policy
By using Juni, you agree that you will NOT:
- Use the Service for any unlawful, illegal, or fraudulent activities.
- Use the Service to infringe or misappropriate the intellectual property, privacy, or other rights of any person or entity.
- Use the Service in violation of applicable export control, sanctions, or trade laws.
- Use the Service in ways that violate the terms of service of Slack, Google, Follow Up Boss, or any other connected platform.
- Attempt to gain unauthorized access to any system, account, or data related to the Service or connected platforms.
- Use the Service to create, store, or distribute content that is false, misleading, defamatory, obscene, or that promotes hate, violence, or illegal activities.
- Use the Service to create or distribute phishing content, malware, or deceptive impersonations.
- Interfere with, disrupt, or degrade the Service, including by introducing harmful code, abusing automation, or imposing unreasonable load.
- Attempt to bypass or circumvent any usage limits, approval mechanisms, rate limits, or security features.
- Use the Service to send unsolicited messages or spam through connected platforms.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service. We may investigate suspected violations, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate.
8. Intellectual Property
- Our Property. The Service, including its design, software, algorithms, and documentation, is owned by Endpaper Corporation and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
- Your Data. You retain ownership of your business data, messages, documents, playbooks, and any other content you provide. By using the Service, you grant Endpaper Corporation a limited, non-exclusive license to use that content as necessary to provide the Service.
- Customer Directives. You grant Endpaper Corporation a license to access, use, and create derivative works of your playbooks, workflow configurations, prompts, and instructions ("Customer Directives") to (a) provide the Service and (b) improve the Service generally, including by incorporating such directives or derivatives thereof into the Service as provided to other customers. You retain all rights to use, modify, and distribute your own Customer Directives.
- Usage Data. We may collect, compile, and use aggregated and de-identified usage data (such as feature usage patterns and performance metrics) that does not identify you. We own all rights to such usage data.
- AI-Generated Content. Reports, documents, and other content generated by Juni are provided for your use. You may use AI-generated content for your business purposes.
- Feedback. If you provide feedback or suggestions about the Service, you agree that we may use such feedback without obligation to compensate you.
9. AI-Generated Content and Disclaimers
The Service uses AI to generate content, execute tasks, and make recommendations. You should understand the following:
- AI output may be imperfect. Content generated by Juni may be incorrect, misleading, incomplete, or inappropriate. The AI may misunderstand context, make erroneous recommendations, or generate inaccurate information.
- Not professional advice. Suggestions, reports, or recommendations generated by the Service are not professional legal, financial, tax, real estate, or other specialized advice. Always use your professional judgment and consult qualified professionals when appropriate.
- User responsibility. You are responsible for reviewing and verifying AI-generated content before acting on it or relying on it for business decisions.
- No guaranteed human review. Autonomous tasks and scheduled playbooks may execute without real-time human review.
- Platform compliance. You are responsible for ensuring that any actions executed through Juni comply with the policies of connected platforms and applicable laws.
10. Pricing and Payment
- Plans. The Service may offer free trial and paid subscription plans. Details of available plans and pricing are published on meetjuni.com.
- Payment. If you subscribe to a paid plan, you authorize Endpaper Corporation (or our payment processor, Stripe) to charge your payment method for applicable fees and taxes. All fees are in U.S. dollars unless otherwise specified.
- Billing. Subscriptions are billed in advance according to the billing cycle you select.
- Auto-Renewal. Subscriptions automatically renew unless cancelled before the end of the billing period.
- Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- Refunds. Fees are generally non-refundable except at our discretion or where required by law.
- Changes. We reserve the right to modify pricing or introduce new plans. If we make changes that affect your current plan, we will provide at least 30 days' advance notice.
11. Disclaimer of Warranties
THE SERVICE (INCLUDING ALL CONTENT, FEATURES, AI CAPABILITIES, AND INTEGRATIONS) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE, THAT AUTONOMOUS ACTIONS WILL ALWAYS EXECUTE AS INTENDED, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY OR PROPER FUNCTIONING OF SLACK, GOOGLE, FOLLOW UP BOSS, OR ANY OTHER THIRD-PARTY SERVICE THAT JUNI INTEGRATES WITH. CHANGES TO THESE PLATFORMS MAY AFFECT SERVICE FUNCTIONALITY.
Some jurisdictions do not allow certain warranty exclusions. In such jurisdictions, the exclusions in these Terms apply only to the maximum extent permitted by applicable law.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ENDPAPER CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING BUT NOT LIMITED TO:
- Actions taken by the AI agent on connected platforms
- Business decisions made based on AI-generated recommendations
- Consequences of approved or pre-authorized autonomous actions
- Inaccurate, incomplete, or inappropriate AI-generated content
- Lost profits, revenue, or business opportunities
- Loss of data or unauthorized access to information
- Service interruptions or downtime
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID TO US BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF YOU HAVE NOT PAID US, $0).
MULTIPLE CLAIMS WILL NOT EXPAND THESE LIMITATIONS. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THESE TERMS IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Endpaper Corporation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Actions executed by Juni on your behalf after receiving approval or through your configured playbooks, triggers, and pre-authorization settings
- The content and suitability of your playbooks, instructions, and configurations
- Your violation of these Terms or any applicable law
- Your violation of any third-party platform's terms of service
- Content created or actions taken using the Service
14. Termination
- By you. You may stop using the Service at any time by contacting us at support@meetjuni.com to close your account. If you are a team administrator, you may request closure of the entire team, which will terminate the Service for all team members. Disconnecting integrations stops new data collection from those sources.
- By us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe that you have violated these Terms, you pose a security or legal risk to the Service or other users, or we decide to discontinue the Service. We will provide reasonable notice when possible.
- Effect of termination. Upon termination, your right to access the Service ceases immediately. We will delete your data in accordance with our Privacy Policy (within 90 days of account closure). Sections 8, 9, 11, 12, 13, 15, 16, and 18 survive termination.
15. Dispute Resolution and Arbitration
If you have a concern, please contact us first at support@meetjuni.com so we can try to resolve it informally. If we cannot resolve a dispute informally within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in King County, Washington. Each party will bear its own costs, and the arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
Class action waiver. You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, or confidentiality violations.
If any portion of this arbitration provision is found unenforceable, the remaining portions will remain in effect to the maximum extent permitted by law.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Except for disputes subject to arbitration under Section 15, any disputes shall be subject to the exclusive jurisdiction of the federal and state courts in Seattle, Washington.
17. Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.
18. General Provisions
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Endpaper Corporation regarding the Service and supersede any prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- No agency. No joint venture, partnership, employment, or agency relationship exists between you and Endpaper Corporation as a result of these Terms.
- Electronic notice. Electronic communications (including email) satisfy any requirements that notice under these Terms be in writing.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. By continuing to use the Service after updated Terms take effect, you accept and agree to the changes.
